2. Eligibility
You must be at least 18 years old and legally competent to contract. By registering an account, you represent that you have authority to bind yourself or the business you represent.
3. Account Registration
You agree to provide accurate, current and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify EZiL immediately of any unauthorised use or security breach.
4. Services Offered
EZiL enables Creators to design, manage and launch digital projects (such as websites or applications) and allows Builders to offer development and design services. EZiL provides:
- EZiL Builder: Tools and AI-driven features to design and manage digital projects.
- EZiL Managed Services: Projects delivered by EZiL using verified Builders.
- Marketplace Jobs: Projects delivered by independent Builders under the Marketplace Job model.
- EZiL Wallet and Credits: Closed-loop balance used to purchase EZiL services.
- Payment facilitation: Via authorised payment aggregators and escrow/settlement arrangements as required by RBI regulations.
5. Creator Obligations
Creators must:
- Provide accurate project requirements and timely feedback to Builders.
- Ensure payment for EZiL Managed Services and Marketplace Jobs via authorised payment links.
- Not misuse wallet funds or attempt to pay Builders directly.
- Only mark a project as complete when satisfied with delivery; acceptance triggers Builder settlement.
- Comply with applicable laws, including intellectual property, data protection and taxation rules.
6. Builder Obligations
Builders must:
- Complete KYC and bank/UPI verification before accepting jobs.
- Provide accurate qualifications, skills and portfolio information.
- Deliver services professionally and within agreed timelines.
- Not accept payments outside EZiL’s authorised channels or ask clients to pay directly.
- Not self-pay or mark jobs complete on behalf of a client; settlement is contingent on client approval or expiry of the review window.
- Comply with EZiL’s dispute resolution and refund policies.
7. Wallet Usage
The EZiL Wallet is a closed-loop balance. Creators may add funds or receive promotional credits to purchase EZiL services. Wallet funds cannot be withdrawn or transferred and are not a payment instrument for third-party services. Builder earnings are not wallet balance but recorded as settlement ledgers; payouts are made from EZiL’s bank account to the Builder’s verified bank/UPI upon project approval.
8. Payments and Fees
All payments must be processed via our authorised payment partners (e.g., Cashfree, Razorpay). Fees may include platform fees, Builder usage fees, subscription charges, taxes and payment gateway charges. Creators authorise EZiL to collect payments on their behalf and to deduct applicable fees before transferring the remainder to Builders. Refunds are governed by our Billing & Refund Policy.
9. Marketplace Job Policy
When a Builder creates a Marketplace Job:
- The Builder is the service provider; EZiL acts as a platform and payment facilitator.
- Payment links must be tied to the specific job and vendor (job ID + vendor ID + order ID).
- The person who pays becomes the client and has rights to accept or reject the delivery.
- Self-payment or self-approval by the Builder is prohibited. EZiL may monitor transactions for self-dealing and fraud.
- Settlement to the Builder occurs only after the client approves delivery or the review window expires.
10. Intellectual Property
EZiL retains ownership of platform software, tools and trademarks. Users retain ownership of content they upload, subject to granting EZiL a licence to host and display such content for service delivery. Builders grant clients a licence to use deliverables upon full payment.
11. Prohibited Activities
Users agree not to:
- Violate any law or third-party rights.
- Post or share content that is fraudulent, misleading, defamatory, obscene or unlawful.
- Interfere with or disrupt the security or operation of the platform.
- Attempt to circumvent payment processes or manipulate our fees.
- Use automated scripts to collect information from the platform or engage in data scraping.
- Undertake any activity that could harm EZiL, its users or partners.
12. Dispute Resolution
If a dispute arises between a Creator and a Builder, they should first attempt to resolve it amicably via the platform’s communication tools. For EZiL Managed Services, EZiL may mediate and decide on refunds or corrective actions. For Marketplace Jobs, EZiL facilitates communication but does not guarantee resolution; however, payout may be withheld during the dispute investigation.
13. Termination and Suspension
EZiL may suspend or terminate your account if you breach these Terms, violate any law or engage in fraudulent or abusive behaviour. You may terminate your account by sending a written request to EZiL. Upon termination, your right to use the platform ceases immediately; however, your obligations relating to outstanding payments, indemnities and dispute resolution survive termination.
14. Limitation of Liability
EZiL is not liable for indirect, incidental or consequential damages arising from your use of the platform. In no event will EZiL’s total liability exceed the amount you paid to EZiL in the six months preceding the claim.
15. Indemnity
You agree to indemnify and hold EZiL, its directors, officers and employees harmless from any claims, losses, damages, liabilities and expenses arising from your use of the platform, violation of these Terms or infringement of any rights.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Nellore, Andhra Pradesh, or another jurisdiction specified by EZiL.
17. Modifications
EZiL may amend these Terms from time to time to reflect changes in law or business practices. Updated Terms will be posted on our website. Continued use of the services after such amendments constitutes acceptance of the revised Terms.
